Welcome to The Seamless Digital Studio (“we,” “our,” “us”). By accessing or using our website at seamlessdigitalstudio.com, or engaging our services, you agree to be bound by the following Terms of Service (“Terms”).

These Terms outline the mutual expectations, legal rights, and responsibilities between you (the client) and The Seamless Digital Studio in relation to our service offerings, which currently include media buying, website performance audits, email marketing, and SEO consulting. These Terms are structured for clarity, compliance, and transparency in line with GDPR and responsible business practice.

1. Scope of Services

We provide professional marketing services designed to help your business grow through clarity, strategy, and performance. Our current offerings include:

  • Paid Media Buying (Meta & TikTok Ads)
  • Website Performance Audits
  • Email Marketing Strategy & Implementation
  • SEO Audits and Strategic Consulting

We may introduce AI-powered marketing automation solutions in the near future. Any such service will be introduced under updated terms, if applicable.

2. Who We Work With

To engage our services, you confirm that:

  • You are at least 18 years of age
  • You are legally authorized to represent yourself or your business
  • You are not engaging with us for illegal, unethical, or prohibited use

We reserve the right to decline services that conflict with our brand values, ethics, or business model.

3. Engagement & Client Responsibilities

You agree to:

  • Communicate with honesty and clarity throughout the project
  • Provide timely and accurate access to platforms, creatives, or materials required to perform our services
  • Review and approve deliverables within mutually agreed timelines
  • Remit payments on time as per invoicing terms

We are not responsible for delays or diminished results caused by missing assets, unclear communication, or lack of timely input.

4. Fees, Invoicing & Payments

Service fees are outlined and agreed upon in advance of project initiation via proposal or service agreement.

  • Invoices are issued via Stripe or another secure provider and due within 7 days unless otherwise noted
  • Late payments may result in paused services and a 5% late fee per 14-day period
  • Project work begins upon receipt of the initial payment (retainer, full, or milestone-based)
  • All fees are exclusive of any taxes unless explicitly stated

Media spend for ad services is billed directly to your ad platform account (e.g., Meta Business Manager) and is not collected by us.

5. Intellectual Property

All assets, strategies, reports, and creative content produced during our engagement remain the property of The Seamless Digital Studio until full payment is received. Upon completion of payment:

  • All final deliverables are licensed to the client for commercial use
  • Drafts, templates, or internal tools remain proprietary unless stated otherwise
  • You agree not to reuse, resell, or modify proprietary frameworks without written permission

6. Confidentiality

All discussions, strategies, account access, and business data shared with us are held in the strictest confidence. We do not sell or share confidential client information, and we expect the same in return regarding our internal processes and materials.

7. Data Protection & GDPR Compliance

We take privacy seriously and operate in full compliance with the General Data Protection Regulation (GDPR).

What data we collect: Name, email address, business information, billing data, platform access, and usage data where applicable.

Why we collect it: To fulfill contracted services, maintain accurate communication, issue invoices, and improve user experience.

How it’s stored: Securely via platforms like Stripe, WordPress, email systems, and project management tools.

Third-party disclosure: We only share your data with essential service providers and never for advertising purposes.

8. Cancellation & Refunds

We ask for a 7-day written notice for cancellations. Work completed up to the date of cancellation will be invoiced. Refunds are offered at our discretion, based on the scope of services already delivered.

For ongoing retainers, cancellation will apply to the next billing cycle unless otherwise agreed.

9. No Guarantees Disclaimer

We are committed to high-quality work, but we do not guarantee specific results such as ROI, ad performance, or traffic volumes due to the many variables beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, The Seamless Digital Studio shall not be liable for any indirect or consequential damages related to the use of our services. Our liability is capped at the amount paid by you in the 90 days prior to the claim.

11. Changes to Terms

We may update these Terms at any time. Changes will be posted to this page with an updated date. Continued use of our services implies acceptance of the revised Terms.

12. Legal Jurisdiction

These Terms are governed by the laws of the United States. Any disputes will be resolved in the appropriate courts under U.S. jurisdiction.
